Terms of Service
Learning Space EduPower Ltd · Last updated 17 August 2026
These Terms of Service (the “Terms”) govern your access to and use of the Learning Space platform, websites, mobile experiences, games and related services (together, the “Platform”) operated by Learning Space EduPower Ltd (“Learning Space”, “we”, “us”). By creating an account or using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform.
1. Who may use the Platform
You may use the Platform only if you can form a binding contract with us and are permitted to do so under applicable Nigerian law.
- Under 18s: A student under 18 may use the Platform only with the consent and supervision of a parent, guardian or their school, who accepts these Terms on the student’s behalf.
- Schools & educators: If you register on behalf of a school or organisation, you confirm you are authorised to bind it to these Terms.
- You must provide accurate information and keep your account credentials secure. You are responsible for activity under your account.
2. Accounts, roles and approval
The Platform supports different roles — students, parents, educators, schools, vendors and administrators — each with different features and responsibilities. Certain accounts (for example educators and schools) require review and approval before full access is granted, and some features require identity verification (KYC). We may approve, decline, suspend or restrict any account at our discretion where these Terms or the law are not met.
3. Acceptable use
You agree not to:
- break any law, infringe intellectual property, or violate the rights or privacy of others;
- upload unlawful, harmful, misleading, defamatory, or age-inappropriate content;
- cheat in games, exams or assessments, manipulate scores, leaderboards, points or rewards, or bypass proctoring;
- attempt to gain unauthorised access, disrupt, reverse-engineer, scrape or overload the Platform;
- use the Platform to defraud others, launder value, or abuse payments, vouchers, referrals or payouts.
4. Your content and licence
You retain ownership of the content you create or upload — courses, questions, slides, media, comments and similar (“User Content”). By submitting User Content you grant Learning Space a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt and display it as needed to operate, secure, promote and improve the Platform, and to make it available to the audiences you choose (for example your school, class or game participants).
You are solely responsible for your User Content and confirm you have the rights to share it. We may remove or restrict content that breaches these Terms, and we may retain copies as described in our Privacy Policy and for legal, safety and record-keeping purposes.
5. Our intellectual property
The Platform, its software, design, branding, and all content we provide are owned by or licensed to Learning Space and protected by law. Except for the rights expressly granted to you to use the Platform, no rights are transferred to you.
6. Payments, fees and commissions
- Payment processing. Payments are handled by our third-party payment processor (Paystack). We do not store your full card details. Your use of payment features is also subject to the processor’s terms.
- Paid items. Courses, exams, event and game entry fees, product orders, reward tiers and school subscriptions may carry a price set by the relevant organiser or by Learning Space.
- Platform commission & splits. Learning Space charges a platform commission on sales and paid activities, which may vary by subscription plan. Remaining amounts are shared with the relevant organiser, school, host or referrer according to the applicable split. Referral rewards (where offered) are a percentage of qualifying fees.
- Subscriptions. School plans renew for the interval you select until cancelled. Seat limits and commission rates depend on the plan.
- Taxes. Prices may be subject to applicable taxes and processor fees.
7. Payouts, wallets and withdrawals
Educators, schools, vendors and eligible users may accrue earnings, commissions, points or reward-wallet balances. Withdrawals of monetary balances may require identity verification (KYC), a minimum threshold, and are subject to review to prevent fraud. We may withhold, reverse or adjust balances arising from error, chargeback, fraud, or breach of these Terms. Points and non-cash rewards have no independent monetary value except as expressly stated.
8. Games, prizes and rewards
Games, tournaments and challenges are for learning and engagement. Any prizes, “star”, “consolation” or “guaranteed” benefits, recognition awards, or raffles are offered and fulfilled by the host or organiser, who is responsible for honouring what they advertise. Learning Space is not a betting or gambling service; entry fees, where charged, are for participation and access, not a wager.
9. Vendors and vouchers
Where the Platform supports physical or digital vendors, vouchers and settlements, the vendor is responsible for the goods or services it provides and for honouring validly redeemed vouchers. Settlement of vendor payouts is subject to verification and these Terms.
10. Third-party services
The Platform relies on third-party providers (for example payment processing, cloud hosting and storage, and email). Links or integrations to third-party services are provided for convenience; their terms and privacy practices apply to your use of them.
11. Suspension and termination
You may stop using the Platform at any time. We may suspend or terminate your access, remove content, or freeze balances if we reasonably believe you have breached these Terms, created risk or legal exposure, or where required by law. On termination, provisions that by their nature should survive (including payment, IP, disclaimers, liability and governing law) will continue to apply.
12. Disclaimers
The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and uninterrupted or error-free operation. Educational content and game results are not guarantees of any outcome, grade or examination result.
13. Limitation of liability
To the fullest extent permitted by law, Learning Space and its officers, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. Our total aggregate liability arising out of or relating to the Platform will not exceed the greater of the amounts you paid to us in the three (3) months before the event giving rise to the claim, or NGN 20,000.
14. Indemnity
You agree to indemnify and hold Learning Space harmless from claims, losses and expenses (including reasonable legal fees) arising from your User Content, your use of the Platform, or your breach of these Terms or the law.
15. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. You agree to first attempt to resolve any dispute with us informally by contacting us. Disputes not resolved informally will be subject to the exclusive jurisdiction of the competent courts of Nigeria.
16. Changes to these Terms
We may update these Terms from time to time. If we make material changes we will take reasonable steps to notify you (for example via the Platform). Your continued use after changes take effect constitutes acceptance of the revised Terms.
